Listed companies and company secretaries

The company secretary reads the BSEC site every morning

BSEC notifications, directives and orders are published as PDFs, some scanned. They overlap with the Companies Act, exchange listing regulations and NBR corporate tax. The company secretary carries personal liability and a board reporting calendar.

Where it hurts

  • BSEC issuances are Bangla-PDF heavy and some have no text layer, so search and copy fail.
  • Corporate-governance code amendments, dividend and AGM season, and enforcement actions all land on the same desk.
  • The budget sits with the CFO, the obligation with the company secretary.
  • Evidence for the board: when was the directive seen, who actioned it, what was filed.

What we monitor for you

  • BSEC: notifications and directives

    In first slice

The official rules-and-regulations list with issue dates; type inferred from the filename when the page does not state it.

  • NBR: Income tax SROs

    In first slice

Listed-company tax rate and withholding changes, with the listing-lag caveat.

  • Bangladesh Bank: FEPD

    In first slice

For foreign shareholders' dividends and repatriation.

  • Exchange listing regulations

    Coverage gap

DSE and CSE pages are JavaScript-paginated and are not monitored today.

A sample week

  1. Daily

New BSEC documents appear with the issue date and official PDF. Scanned files are marked “scanned, summary pending” rather than summarised.

  2. On directive

The company secretary opens a task with the board-meeting date as the deadline and attaches the directive as evidence.

  3. Quarterly

The quarterly summary of BSEC and tax changes supports the audit committee pack.

Honest limits

  • Scanned BSEC PDFs are read by OCR, labelled with their confidence and held for human review before anyone relies on the text.
  • Exchange listing regulations and Commission-meeting decisions on the BSEC homepage are not yet in scope.
  • Interpretation of governance requirements stays with your counsel.
